Acceptance of Terms

By placing an order with Force Distribution & Wholesale, you represent that you are a qualified professional, a laboratory entity, or a business authorized to purchase research-grade chemicals and wellness products. If you do not agree to these terms, you must discontinue your use of our services immediately.

Research-Use Only Policy

All products supplied by Force Distribution & Wholesale are sold exclusively for laboratory research and professional use only.

No Human Consumption: These products are not approved by the FDA or any other regulatory body for human consumption, diagnosis, treatment, cure, or prevention of any disease.
Liability: You agree that you are solely responsible for the handling, storage, and application of these products within your research or clinical setting. Force Distribution & Wholesale assumes no liability for any misuse, improper storage, or off-label use of our products.

Account Responsibility

As an authorized partner, laboratory, or practitioner, you are responsible for maintaining the confidentiality of your account credentials. You are responsible for all activities that occur under your account. We reserve the right to suspend or terminate accounts that violate our terms or engage in the unauthorized resale of our products.

Ordering, Payment, and MAP Policy

Minimum Order Requirements: All wholesale orders are subject to our stated Minimum Order Quantities (MOQ).
MAP Policy: Force Distribution & Wholesale enforces a strict Minimum Advertised Pricing (MAP) policy. By purchasing our products for wholesale, you agree to adhere to these pricing structures to maintain the integrity of the market. Failure to comply with MAP requirements may result in the immediate termination of your distribution account.
Payment: All payments must be processed according to the terms established in your distribution agreement.

Intellectual Property

All content on our website, including product descriptions, technical overviews, and branding, is the property of Force Distribution & Wholesale. You may not reproduce, distribute, or create derivative works from our materials without prior written consent.

Limitation of Liability and Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FORCE DISTRIBUTION & WHOLESALE PROVIDES ALL PRODUCTS AND SERVICES "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

6.1 Limitation of Damages

In no event shall Force Distribution & Wholesale, its affiliates, directors, officers, employees, or agents be liable to you or any third party for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

Your access to or use of, or inability to access or use, our products or services;
Any conduct or content of any third party related to the distribution or research application of our products;
Any unauthorized access, use, or alteration of your transmissions or content.

6.2 Liability Cap

Under no circumstances shall the total aggregate liability of Force Distribution & Wholesale for all claims related to your use of our products and services exceed the total amount paid by you to Force Distribution & Wholesale for the specific product or service giving rise to the claim in the twelve (12) months preceding the event giving rise to the liability.

6.3 Nature of Products

You expressly acknowledge and agree that because our products are supplied exclusively for laboratory research and professional analytical purposes, the risk of use lies entirely with the purchasing party. Force Distribution & Wholesale does not guarantee, represent, or warrant that the use of our products will be uninterrupted, error-free, or compliant with the specific research objectives of the purchaser.

6.4 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages; therefore, some of the above limitations may not apply to you. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.

By proceeding with your purchase, you acknowledge that you have read this limitation of liability and agree that it represents a fair and reasonable allocation of risk between you and Force Distribution & Wholesale.

Indemnification

You agree to indemnify, defend, and hold harmless Force Distribution & Wholesale, its officers, directors, employees, agents, affiliates, and licensors (the "Indemnified Parties") from and against any and all claims, actions, suits, proceedings, losses, liabilities, damages, costs, and expenses (including, without limitation, reasonable legal fees and costs) arising out of or resulting from:

7.1 Unauthorized or Improper Use

Any use, application, handling, or distribution of our products by you or any third party acting on your behalf that falls outside the scope of "laboratory research and professional analytical purposes," including but not limited to any use for human or veterinary consumption.

7.2 Violation of Law

Your violation of any applicable local, state, federal, or international law, regulation, or ordinance, including but not limited to the regulations enforced by the FDA or other governing bodies regarding the handling, resale, or research application of chemical compounds.

7.3 Breach of Agreement

Any breach by you of these Terms of Service, including any violation of our Minimum Advertised Pricing (MAP) policy or our confidentiality and intellectual property requirements.

7.4 Negligence or Misconduct

Any negligent act, omission, or willful misconduct by you or your agents in the course of your research, storage, or transport of the products supplied by Force Distribution & Wholesale.

7.5 Duty to Defend

You agree that at the request of Force Distribution & Wholesale, you will assume the defense of any such claim or action, using counsel reasonably acceptable to Force Distribution & Wholesale, and that you will pay all costs associated with such defense. Force Distribution & Wholesale reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with Force Distribution & Wholesale in asserting any available defenses.

7.6 Survival of Indemnity

Your obligations under this Indemnification clause shall survive the termination of your account, the termination of your distribution agreement, and the cessation of your use of our products.

By interacting with our services or purchasing products from Force Distribution & Wholesale, you acknowledge that you understand your obligations under this Indemnity clause and agree that you are fully liable for any consequences arising from your failure to adhere to the professional and legal standards defined herein.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the jurisdiction in which Force Distribution & Wholesale is headquartered, without regard to its conflict of law provisions. Any legal action arising from these terms shall be brought exclusively in the courts located within that jurisdiction.

Modifications to Terms

We reserve the right to update or modify these Terms of Service at any time. Changes will be effective immediately upon posting to our website. Continued use of our services following any changes constitutes your acceptance of the new terms.
